These Terms and Conditions (the “Terms”) govern use of the GSCI Portal (gsci.solability.com), the Global Sentiment Monitor (gsm.solability.com), and the related read-only public API and MCP server (collectively, the “Services”) operated by SolAbility(the “Provider”, “we”, “us”). By accessing or using the Services, the organization on whose behalf you act (the “Customer”) accepts these Terms.
1. The Services
The Services provide research-grade information products derived from public-domain data, including country sustainability scores and ratings (GSCI), country-risk and scenario analyses, sovereign bond rating comparisons, and a worldwide news-sentiment monitor. The Services are research and informational tools. They are not investment advice, credit advice, a credit rating within the meaning of any rating-agency regulation, an offer or solicitation, or a substitute for professional financial, legal, tax or investment counsel. The Customer is solely responsible for any decision it makes informed by the Services.
2. Accounts and access
Access is granted on a per-organization basis under a written or digital subscription. Within each Customer organization, individual users are added by invitation only (the Customer’s own owner/administrator, or a SolAbility platform administrator on the Customer’s instruction). Each user receives their own credentials and must keep them confidential; account sharing between natural persons is not permitted. The Customer is responsible for the acts and omissions of its users and for promptly notifying us of any suspected unauthorized access.
3. Permitted use
Subject to these Terms and an active subscription, the Customer may access the Services and incorporate outputs into its internal analyses, reports, presentations and customer-facing publications, provided that any quotation, chart or summary attributable to SolAbility is reproduced accurately and credited as such (“Source: SolAbility GSCI” or “Source: SolAbility Global Sentiment Monitor”, as applicable).
4. Restrictions
The Customer shall not: (a) make the Services or substantial parts of their data available to third parties as a stand-alone product or feed; (b) scrape, mirror, replicate or attempt to reconstruct the underlying datasets in bulk; (c) reverse-engineer the scoring, sentiment or weighting models; (d) circumvent rate limits or use automated access outside the published API and MCP surfaces and the plan’s contractual quotas; (e) use the Services to train, validate or evaluate a competing rating, scoring or sentiment product; (f) use the Services for any unlawful purpose, or in a manner that damages, disables or impairs the Services or the Provider’s infrastructure.
5. Fees, billing and term
Fees are set out in the Customer’s order form or written agreement and are exclusive of applicable taxes. Subscriptions are billed by invoice with payment by bank transfer (SEPA where available) on the terms shown on the invoice (default: thirty days net). Late payments may be subject to default interest at the statutory rate and to suspension of access after written notice. Each subscription runs for the term shown on the order form and renews on the same terms unless either party gives notice as set out on the order form. No refunds are due for partial periods unless required by applicable mandatory law.
6. Intellectual property
The Services, the underlying models, the GSCI scoring methodology, the data compilations, the visual designs and the source code are and remain the exclusive property of SolAbility and its licensors. These Terms grant the Customer a non-exclusive, non-transferable, revocable right to use the Services during the term, and to use the outputs as permitted in Section 3. No other rights are granted by implication.
7. Customer data and confidentiality
The Services process only the minimum personal data necessary to provide them, as described in our Privacy Policy. The Customer’s watchlists, saved configurations and usage logs are confidential to the Customer organization and are not disclosed to third parties save as required to operate the Services or by law.
8. Service availability
We aim for high availability and operate scheduled refresh cycles described in our public documentation. The Services are provided “as available” without a formal service-level commitment unless one is separately agreed in writing. We may carry out maintenance, security and capacity work that briefly interrupts access; where reasonably practicable we will provide advance notice.
9. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Services and their outputs are provided “as is” and without any warranty, express or implied, including any warranty of merchantability, fitness for a particular purpose, accuracy, completeness or non-infringement. The GSCI ratings express an illustrative sustainability methodology and are not credit ratings, financial advice, or guarantees of future performance. Sentiment scores are statistical summaries of public news coverage; they reflect what is being written, not what is true, and are subject to the editorial, selection and survivorship biases of the underlying media.
10. Limitation of liability
To the maximum extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, data or goodwill, however caused. Our aggregate liability under or in connection with these Terms for any twelve-month period shall not exceed the fees paid by the Customer for the Services during that twelve-month period. Nothing in these Terms excludes or limits liability for fraud, willful misconduct, gross negligence, death or personal injury, or any other liability that cannot be excluded under applicable law.
11. Termination
Either party may terminate the subscription on written notice as set out on the order form, or for the other party’s uncured material breach. On termination the Customer’s right to access the Services ends; we will delete the Customer’s identifiable account data within a reasonable period save where retention is required by law. Sections that by their nature should survive termination (including 4, 6, 7, 9, 10 and 13) will survive.
12. Changes to these Terms
We may update these Terms by posting the updated version at this URL and updating the “Last updated” date. Material changes will be notified to the Customer’s billing contact at least thirty days in advance and take effect at the next renewal.
13. Governing law and venue
These Terms are governed by the substantive laws of Switzerland, excluding its conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive venue for disputes is the competent court at the registered seat of SolAbility, subject to any non-waivable consumer-protection rights of natural persons.
